These Terms of Service ("Terms") govern your access to and use of the NEXUS platform operated by Data Analytics & Consultancy Ltd, registered in England & Wales ("NEXUS", "we", "us", or "our"). By creating an account or otherwise using the Platform, you agree to these Terms.
1. Introduction & Acceptance
1.1 Agreement to terms
By accessing or using the Platform you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1.2 Eligibility
You must be at least 18 years old and acting in a business or professional capacity. By using the Platform, you represent that you have authority to bind the entity you claim to represent.
1.3 Changes to these terms
We may update these Terms from time to time. Material changes will be notified via the Platform or by email before they take effect. Continued use of the Platform constitutes acceptance of the updated Terms.
2. Description of Service
2.1 What NEXUS is
NEXUS is an AI-powered matching engine that helps businesses, consultants, service providers, and investors discover relevant counterparties. It combines hard-rule filtering, weighted attribute scoring, a semantic embedding layer, and a swipe-based discovery feed.
2.2 What NEXUS is not
NEXUS is not a broker, agent, escrow provider, financial adviser, legal adviser, or party to any deal, transaction, contract, or engagement made between users.
2.3 Match Maker mechanics
Matches are surfaced using hard-rule filters (e.g. sector, geography), weighted scoring (e.g. experience, budget, activity), a semantic layer, and personalisation informed by your swipes.
3. Account Registration
3.1 Accuracy of information
You agree to provide accurate, current, and complete information at sign-up and to keep it up to date.
3.2 Account security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. One account per person or entity, unless we expressly permit otherwise.
3.3 Business / professional profiles
Profiles are intended for consultants, startups, service providers, investors, and other business users.
4. Verification & Trust Scores
4.1 Verification badges
Badges are earned by completing verification steps we define from time to time, which may include identity, business registration, and credential checks.
4.2 Limits of verification
NEXUS does not guarantee counterparty identity, solvency, credentials, or performance beyond the specific checks disclosed for each badge.
4.3 Trust score disclaimer
Trust and match scores are informational only. They are not a guarantee of outcome, quality, or suitability.
5. The Matching Engine
5.1 No guarantee
We do not guarantee the quantity, quality, or business outcomes of any match.
5.2 Use of behavioural signals
Your swipes, saves, passes, and match acceptances are used to refine future matches for you and, in aggregated or de-identified form, to improve the engine.
5.3 Right to adjust
We may adjust, retrain, or replace the scoring algorithm at any time without notice.
6. User Conduct
You must not: misrepresent your identity, credentials, or business; scrape, crawl, or bulk-extract Platform data; circumvent the matching engine to spam or harass users; use the Platform to distribute malware or unlawful content; or use NEXUS to solicit users off-platform for the purpose of evading applicable fees. You must maintain an accurate profile.
7. Deals Between Users
7.1 Introductions only
NEXUS facilitates introductions. All negotiations, contracts, transactions, and deals are strictly between users.
7.2 No liability for counterparties
We are not liable for the conduct, solvency, credentials, or performance of any matched party.
7.3 Your due diligence
You are responsible for your own legal, financial, tax, and commercial due diligence before entering into any deal.
7.4 Disputes between users
Disputes between users are outside NEXUS's control and must be resolved between the parties.
8. Fees & Payment
8.1 Free and paid tiers
Some features are provided free of charge; others may require a paid subscription or usage-based fee. Applicable pricing will be presented before you commit.
8.2 Billing, renewal, cancellation
Paid plans renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings.
8.3 Refunds
Except where required by law, fees are non-refundable once the billing period has started.
9. Intellectual Property
9.1 NEXUS IP
The Platform, including the matching algorithm, models, branding, and interface, is owned by NEXUS or its licensors and is protected by intellectual property laws.
9.2 User content licence
You retain ownership of the content you submit. You grant NEXUS a worldwide, non-exclusive, royalty-free licence to host, store, display, transmit, and process your profile data, messages, and other submitted content solely to operate, improve, and secure the Platform.
10. Directory & Public Listings
10.1 Directory contents
Selected profile information may appear in our public directory to help counterparties discover you. Contact and connection actions are gated behind a match or authenticated session.
10.2 Opting out
You can opt out of public visibility from your account settings.
11. Termination & Suspension
11.1 Grounds for suspension
We may suspend or terminate accounts for suspected fraud, abuse, misrepresentation, breach of these Terms, or where required by law.
11.2 User-initiated deletion
You may delete your account at any time from your account settings.
11.3 Effect of termination
On termination, access to the Platform ceases and pending matches are removed. Certain data may be retained as described in the Privacy Policy.
12. Disclaimers
12.1 "As is"
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
12.2 No advice
Nothing on the Platform constitutes investment, legal, tax, or financial advice.
13. Limitation of Liability
13.1 Cap
To the fullest extent permitted by law, NEXUS's total aggregate liability arising out of or relating to your use of the Platform is limited to the greater of (a) the fees you have paid to NEXUS in the twelve months preceding the event giving rise to liability, or (b) GBP 100.
13.2 Excluded damages
We are not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost deals, lost opportunity, or loss of goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (including for death or personal injury caused by negligence, or fraud).
14. Indemnification
You agree to indemnify and hold harmless NEXUS, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Platform or breach of these Terms.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer or statutory rights available to you in your country of residence.
16. General Provisions
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and NEXUS regarding the Platform. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Notices may be sent by email to the address associated with your account.
